Toronto man faces charges for breaching OSC ban

A Toronto man has been charged with breaching a director and officer ban that was imposed as part of a settlement with securities regulators.

The Ontario Securities Commission (OSC) announced that James Stuart Adams has been charged with one count of breaching a 2015 order that banned him from serving as a corporate director or officer for five years.

The regulator said it’s now alleged that Adams continued to serve as an officer of Integral Transfer Agency Inc. He’s also linked to Vybe Networks Inc., BizToolz Network Inc. and Excelsior Solutions Corporation, it added.

The allegations have not been proven. Adams is scheduled to appear in court in Toronto on Feb. 5.

Back in March 2015, an OSC hearing panel approved a settlement with Adams that included a five-year director and officer ban, along with a trading ban and monetary sanctions.

In settling that case, Adams admitted to violating securities laws in connection with an illegal distribution and unregistered trading in the securities of A25 Gold Producers Corp. He was president of the firm.
